Terms of Service

Summary. VIPCloud is an OpenAI-compatible API gateway providing unified access to multiple Large Language Model providers. By creating an account or purchasing credits, you agree to these Terms and our Privacy Policy. Misuse of the service — including generation of illegal, harmful, or abusive content — will result in account suspension without refund.

1. Service Description

VIPCloud (operated by VIPCloud, "we", "us") provides a unified, OpenAI-compatible REST API that routes requests to multiple upstream Large Language Model (LLM) providers. We do not train, host, or operate the underlying models. Customers purchase prepaid credit packs and consume credits as they make API calls.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account. By using the service you represent that you meet this requirement and that your use does not violate any applicable law in your jurisdiction.

3. Account Registration

You may register through GitHub OAuth or Google OAuth. You are responsible for maintaining the confidentiality of your account credentials and API keys. Activity under your account is your responsibility.

7. Intellectual Property

You retain rights to prompts you submit. Outputs generated through VIPCloud are subject to the terms of the underlying model provider; we make no warranty of ownership or non-infringement of generated content. The VIPCloud platform, brand, documentation, and code are owned by us.

8. Disclaimers

The service is provided "as-is" without warranties of any kind. LLM outputs may be inaccurate, incomplete, biased, or offensive. You are solely responsible for evaluating output suitability for your use case. We disclaim liability for any decision made based on model output.

9. Limitation of Liability

To the maximum extent permitted by law, our aggregate liability arising out of or relating to the service is limited to the amount you paid us in the 90 days preceding the claim. We are not liable for indirect, consequential, or incidental damages.

10. Termination

You may close your account at any time. We may suspend or terminate accounts that violate these Terms or the AUP. Upon termination, unused credits may be forfeited if termination was caused by your AUP violation.

11. Changes to These Terms

We may update these Terms at any time. Material changes will be announced via email and on this page. Continued use after changes constitutes acceptance.

12. Governing Law & Disputes

These Terms are governed by the laws of Hong Kong SAR. Disputes shall be resolved in the courts of Hong Kong, except where applicable consumer-protection law in your jurisdiction provides otherwise.
