Terms of Service

Summary. VIPCloud is an OpenAI-compatible API gateway providing unified access to multiple Large Language Model providers. By creating an account or purchasing credits, you agree to these Terms and our Privacy Policy. Misuse of the service — including generation of illegal, harmful, or abusive content — will result in account suspension without refund.

1. Service Description

VIPCloud (operated by VIPCloud, "we", "us") provides a unified, OpenAI-compatible REST API that routes requests to multiple upstream Large Language Model (LLM) providers. We do not train, host, or operate the underlying models. Customers purchase prepaid credit packs and consume credits as they make API calls.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account. By using the service you represent that you meet this requirement and that your use does not violate any applicable law in your jurisdiction.

3. Account Registration

You may register through GitHub OAuth or Google OAuth. You are responsible for maintaining the confidentiality of your account credentials and API keys. Activity under your account is your responsibility.

4. Billing & Credits

Credits are sold as prepaid packs (e.g., $10 for a Starter pack). Pricing is shown in USD.
Payments are processed by our merchant of record. Charges are non-refundable except where required by applicable law.
Unused credits do not expire for 24 months from date of purchase.
Credit balances have no cash value and cannot be transferred or exchanged.

5. Acceptable Use Policy (AUP)

You agree NOT to use the service, directly or indirectly, to generate, store, distribute, or facilitate any of the following:

5.1 Strictly Prohibited (zero tolerance — immediate permanent ban)

Child Sexual Abuse Material (CSAM) in any form. We report violations to the National Center for Missing & Exploited Children (NCMEC) and cooperate fully with law enforcement.
Non-consensual intimate imagery, including deepfakes of real persons.
Content that sexualizes minors in any way, including text, simulated, or fictional.
Material designed to plan or facilitate violence against specific individuals or groups, including terrorism and mass-casualty attacks.
Content that incites genocide or constitutes credible threats of serious bodily harm.

5.2 Prohibited Use Cases

NSFW / sexually explicit content generation, including erotica, regardless of whether participants are depicted as adults.
Deepfakes or impersonation of real individuals (public figures or private persons) without their explicit consent.
Malware, ransomware, phishing kits, or exploit code intended for unauthorized access to computer systems.
Harassment, hate speech, or content inciting violence against any person or protected group.
Election misinformation, political deepfakes, or coordinated inauthentic behavior.
Fraud, scams, or deceptive content, including academic plagiarism services and fake review generation.
Unauthorized practice of medicine, law, financial advice, or other regulated professions where the output is presented as professional advice.
Privacy violations, including doxxing, stalking, or unauthorized collection of personal data.
High-risk autonomous decision-making in critical infrastructure, safety-of-life systems, or weapons systems.
Bulk spam, unsolicited commercial messaging, or generation of fake content at scale.
Any use that violates applicable export controls or sanctions.

5.3 Required Disclosures (when using LLM output)

You must disclose AI involvement when generated content could reasonably be mistaken for human-authored content in contexts where authenticity matters (e.g., journalism, academic submissions, sworn statements).
You may not represent generated content as medical, legal, or financial advice from a licensed professional.

6. Content Moderation & Enforcement

VIPCloud enforces this AUP through multiple layers:

Provider safety filters. All upstream model providers enforce their own content policies and refuse requests that violate them. We pass these refusals through unmodified.
Request logging. We log API request metadata (timestamp, account, model, token counts, IP) for 30 days to support abuse investigations and respond to law enforcement requests. We do not log full prompt or completion text by default.
Rate limiting. Per-account rate limits prevent automated abuse at scale.
Account enforcement. We may suspend or terminate accounts that violate the AUP. Severe violations (Section 5.1) result in permanent ban with no refund and may be reported to authorities.
Reporting. Suspected abuse can be reported to [email protected].

7. Intellectual Property

You retain rights to prompts you submit. Outputs generated through VIPCloud are subject to the terms of the underlying model provider; we make no warranty of ownership or non-infringement of generated content. The VIPCloud platform, brand, documentation, and code are owned by us.

8. Disclaimers

The service is provided "as-is" without warranties of any kind. LLM outputs may be inaccurate, incomplete, biased, or offensive. You are solely responsible for evaluating output suitability for your use case. We disclaim liability for any decision made based on model output.

9. Limitation of Liability

To the maximum extent permitted by law, our aggregate liability arising out of or relating to the service is limited to the amount you paid us in the 90 days preceding the claim. We are not liable for indirect, consequential, or incidental damages.

10. Termination

You may close your account at any time. We may suspend or terminate accounts that violate these Terms or the AUP. Upon termination, unused credits may be forfeited if termination was caused by your AUP violation.

11. Changes to These Terms

We may update these Terms at any time. Material changes will be announced via email and on this page. Continued use after changes constitutes acceptance.

12. Governing Law & Disputes

These Terms are governed by the laws of Hong Kong SAR. Disputes shall be resolved in the courts of Hong Kong, except where applicable consumer-protection law in your jurisdiction provides otherwise.
